1. Introduction

These Terms of Service ("Terms") govern the provision of software development services by Marketplace Labs Ltd ("we", "us", or "our") to you ("Client"). We are a company registered in England and Wales under company number 13706932. By engaging our services, you agree to be bound by these Terms.

2. Services

We provide custom software development services including web applications, mobile applications, and desktop platforms. The specific scope, deliverables, timeline, and fees for each project are set out in a separate proposal or statement of work agreed between us.

3. Project Engagement

Projects commence upon written acceptance of our proposal and receipt of any agreed deposit. We will deliver services with reasonable skill and care in accordance with the agreed specification. Changes to scope or requirements may affect timelines and fees, which we will discuss with you before proceeding.

4. Payment

Fees are as stated in our proposal. We typically invoice a deposit before work begins, with the balance due on completion or at agreed milestones. Invoices are payable within 14 days unless otherwise agreed. Late payments may incur interest at the statutory rate.

5. Intellectual Property

Upon full payment, you own the intellectual property in the custom work we create for you. We retain ownership of our pre-existing tools, libraries, and methodologies, which you receive a licence to use as part of your project. We may use open-source components, which remain subject to their respective licences.

6. Confidentiality

We will keep your business information confidential and not disclose it to third parties except as necessary to deliver our services or as required by law. We may reference our work for you in our portfolio unless you request otherwise in writing.

7. Client Responsibilities

You agree to: provide timely feedback and approvals, supply content and assets as agreed, ensure you have the rights to materials you provide, and designate a main point of contact for the project.

8. Warranties and Limitations

We warrant that our services will be performed with reasonable skill and care. We do not guarantee that software will be error-free, but we will fix defects reported within 30 days of delivery at no additional charge. Our total liability for any claim is limited to the fees paid for the relevant project.

9. Termination

Either party may terminate a project with 14 days written notice. Upon termination, you pay for work completed to date, and we deliver any work in progress. Termination does not affect accrued rights or obligations.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
